HiNZ Constitution

The constitution, which is a legal requirement, is the governing regulations of our organisation. The HiNZ Board reviews this document annually prior to the Annual General Meeting to ensure it provides appropriate governance. Specific rules and regulations are added and updated as required.


Notice of changes to HiNZ Constitution

The HiNZ Board has proposed changes to our 2014 Constitution to ensure it stays aligned with HiNZ’ activities as a fast-growing professional organisation.


The focus of the changes are to:

  • Clarify the organisation’s financial governance processes.
  • Update the membership definitions to support our activities.
  • Reflect our move to online voting for board candidates.

The proposed changes are:

  • Clause 5.1: Removal of wording for organisational membership
  • Clause 5.4: Clarification that one year's subscription will be refunded to a member
  • Clause 7.5: Updated wording to reflect electronic voting process and clarification on how votes will be counted (1 vote per member in good financial standing) and who will be eligible to vote (student and reciprocal members not entitled to vote)
  • Clause 7.11: Clarification on reasons the Board may appoint offices or employees
  • Clause 9.1: Updated wording to reflect required financial practices and reporting
  • Clause 9.4: Updated wording to reflect that a suitably qualified accountant will undertake preparation of required financial reports
  • Clause 10.5: Clarification on voting process


Before updating the document, the HINZ Board sought professional advice from governance and finance professionals. HiNZ also invited member feedback on the draft constitution in September 2016 and made several additional changes to the document as a result of this feedback.

The new constitution will be voted on by members online, and in-person votes will be counted at the HiNZ AGM, to be held on 7.45am on Wednesday 2 November, at SKYCITY Auckland, during the HiNZ Conference.
